Sterling Strategic Value Fund S.A., SICAV-RAIF (“SSVF” or the “Fund”) is a Luxembourg société anonyme qualifying as a société d’investissement à capital variable subject to the Luxembourg Law of 23 July 2016 on reserved alternative investment funds (“RAIF Law”), whose registered office is located at 18, rue de l’Eau, L-1449 Luxembourg and which is registered with the RCS under number B211798. The sub-fund of SSVF is Sterling Active Fund (the “Sub-Fund”).
The Fund’s Alternative Investment Fund Manager (the “AIFM”) is NS Partners Europe S.A., a Luxembourg société anonyme qualifying as an alternative investment fund manager within the meaning of the Directive 2011/61/EU on Alternative Investment Fund Managers (“AIFMD”) and Article 5 (2) of the Luxembourg AIFM Law, whose registered office is located at 11, boulevard de la Foire, L-1528 Luxembourg and which is registered with the RCS under number B0035060.
The AIFM’s investment advisor is SSVL (Monaco) S.A.M. (“SSVL”), a société anonyme Monégasque incorporated under the laws of the Principality of Monaco, acting pursuant to the law no. 1.338 of 7 September 2007, as amended and the relevant sovereign order no. 1.284 of 10 September 2007 on the financial activities, as amended, whose registered office is at 27 boulevard des Moulins, L’Union, 98000 Monaco.

Information for Investors in the European Union
In each member state of the EEA (each a “Relevant Member State”) that has implemented AIFMD, the Fund and the sub-fund may only be offered to professional investors in accordance with the Directive 2014/65/EU on markets in financial instruments (“MiFID”) and local measures implementing the AIFMD. The Fund is prohibited to be marketed to non-professional investors.
Investors in a Relevant Member State, where the Sub-Fund is not being offered pursuant to the rules implementing Article 32 of the AIFMD, may not invest in the Sub-Fund, unless they expressly choose to do so on their own initiative and at their own risk.
In relation to each Member State of the EEA which, at the date of the Offering Document, has not implemented the AIFMD, the Offering Document may only be distributed and shares may only be offered or placed to the extent that the Offering Document may be lawfully distributed and the shares may lawfully be offered or placed in that member state (including at the initiative of the investor).
At the date hereof, the AIFM has registered the Sub-Fund for marketing under the laws of the Netherlands, Luxembourg, Germany, France, Ireland, Finland, Sweden and Italy implementing Article 32 of the AIFMD. The AIFM may register the Sub-Fund in further Relevant Member States in the future. At the date hereof, the Sub-Fund may also be marketed in Switzerland and Monaco. With reference to the Sub-Fund, no notification for marketing to retail investors in the Federal Republic of Germany has been filed with the Federal Financial Supervisory Authority (BaFin), so that shares of the Sub-Fund may not be marketed to such investors within the jurisdiction of the Investment Code.
Information for Investors in Switzerland
The shares of the Fund can be distributed in Switzerland exclusively to qualified investors (the “Qualified Investors”). The Fund has not been and will not be registered with FINMA. The Offering Document and/or any other offering materials relating to the shares may be made available in Switzerland solely to Qualified Investors.
The Swiss representative of the Fund in Switzerland is UBS Fund Management (Switzerland) AG (the “Representative”). The distribution of shares in Switzerland must exclusively be made to Qualified Investors. The place of performance and jurisdiction for the shares distributed in Switzerland is the registered office of the Representative. The governing documents of the Fund such as the Offering Document, the articles of association, the agreement with the service providers, the subscription documents and the annual reports are available only to Qualified Investors and may be obtained free of charge from the Representative.
The Paying Agent appointed by the Fund’s board of directors (the “Board”) is UBS Switzerland AG. (the “Paying Agent”). Shares may be, but are not required to be, subscribed and/or redeemed via the Paying Agent. To the extent a Qualified Investor wishes to apply for shares via the Paying Agent, wiring instructions will be provided upon request.
