Luxembourg, 11 May 2026 – Sterling Active Fund (“SAF”) is pleased to announce the successful exit of its investment in Senior plc (“Senior”).
SAF sold its remaining shares through the market following the firm offer by the Blackstone/Tinicum consortium to acquire Senior at 300p per share.
Senior, headquartered in the UK, is an engineering group highly exposed to the aerospace sector. Its core business is the design and manufacturing of fluid conveyance and thermal management systems, IP-protected, mission-critical components used across a wide range of demanding industrial applications.
The market viewed Senior as a small, complex, underperforming conglomerate. SAF took a different view, believing the consolidated numbers were hiding the quality of the core business and that the company had reached an inflection point. The thesis combined an expected multi-year upcycle in its key end-markets, a meaningful margin recovery, and the disposal of the lower-quality, non-core Aerostructures division, which would expose the underlying quality of the core business and turn the resulting pure-play into an attractive takeover target.
Throughout the holding period, SAF engaged constructively with the Board and management and maintained an active dialogue with other key shareholders. The case unfolded as anticipated: Senior announced the sale of Aerostructures in July 2025, the remaining, higher-quality business began to re-rate, and, following multiple unsolicited approaches, the company received a firm offer from the Blackstone/Tinicum consortium in April 2026. The offer represents a great outcome and, in SAF’s view, is in the best interest of both shareholders and the company.
SAF decided to fully exit its position by selling its remaining shares through the market. Senior stands as one of the most rewarding outcomes of recent years for the Fund.
